General Terms of Use

These general terms of use (the "Terms") govern access to and use of the LawyerTools service in the context of its beta version. They are entered into between LawyerTools (the "Publisher") and any person accessing the service (the "User"), acting, where applicable, in the name and on behalf of their firm or organisation under the conditions set out in Article 4.

1. Purpose

The purpose of these Terms is to define the conditions under which the Publisher makes the LawyerTools service (the "Service") available to the User, as well as the respective rights and obligations of the parties. The Service consists of a legal assistance and document management platform based on artificial intelligence, intended for legal professionals, in particular business lawyers and law firms.

2. Acceptance of the Terms

Access to and use of the Service require the prior, full and unreserved acceptance of these Terms. The User accepts them when creating their account and, in any event, upon first access to the Service; such acceptance constitutes the formation of the contract between the User and the Publisher. A User who does not accept these Terms must refrain from accessing and using the Service.

These Terms are accessible at all times on the site and may be reproduced and retained by the User. Any amendment is governed by Article 10.

3. Beta status of the Service

The Service is made available as an experimental and free beta version. The User knowingly acknowledges and accepts that:

  • the Service is provided "as is" and "as available", without warranty of any kind and without any service level commitment (SLA);
  • the availability, continuity and completeness of the Service are not guaranteed, and the Service may be subject to interruptions, changes or corrections at any time;
  • the Service may contain defects, errors or inaccurate results inherent in any solution under development and based on artificial intelligence;
  • the test data entered into the Service may be reset or deleted;
  • the Publisher may, at any time and without compensation, modify, suspend or close the beta version as well as any User's access.

4. Invitation-based access and account

Access to the Service is reserved for professionals and is granted by invitation, by means of an access code issued by the Publisher. The User undertakes to provide accurate information when creating their account and to keep it up to date.

A User who accesses the Service in the course of the activity of a firm or organisation represents and warrants that they are acting in the name and on behalf of that firm or organisation and that they hold the necessary authority to bind it under these Terms and the data processing agreement referred to in Article 7. In such case, the obligations undertaken hereunder also bind the firm or organisation concerned, and references to the User shall be understood, depending on the context, as referring to that firm or organisation.

Login credentials are strictly personal and confidential. The User is responsible for keeping them secure and for any use of the Service made through their account. Any unauthorised use or access must be reported to the Publisher without delay at contact@lawyertools.ai.

5. Use of the Service

The User undertakes to use the Service in accordance with these Terms, applicable regulations and their professional and ethical obligations. In particular, the User shall refrain from impairing the security or integrity of the Service, from diverting it from its intended purpose, or from using it for unlawful purposes.

The User is informed that the documents and content they upload to the Service are processed by means of artificial intelligence providers located in the United States, which entails a transfer of data outside the European Union, governed by the conditions described in the Privacy Policy. It is the User's responsibility to assess, in light of their professional and ethical obligations, in particular professional secrecy, the information they choose to submit to the Service and to obtain, where applicable, the necessary authorisations.

The User remains solely responsible for the assessment, verification and use they make of the results produced by the Service. Such results in no way constitute legal advice and cannot substitute for the analysis and judgment of a legal professional.

6. Intellectual property and uploaded content

The Service, in all its components (software, interfaces, databases, trademarks, editorial content), is protected by intellectual property law and remains the exclusive property of the Publisher or its licensors. These Terms grant the User a personal, non-exclusive, non-assignable and non-transferable right to use the Service, limited to the duration of their access and to the intended purposes.

The User retains all rights to the documents and content they upload to the Service. They grant the Publisher a licence limited solely to the technical acts necessary for the provision of the Service.

The documents and content uploaded by the User are used only for the purposes of providing the Service. They are not used to train or improve artificial intelligence models, the Publisher relying on providers under terms that exclude the exploitation of such content for training purposes, in accordance with the contractual terms applicable to these providers' professional application programming interfaces (APIs).

7. Personal data protection and processing

The processing by the Publisher of the personal data for which it is the controller (visitor data and the identity and usage data of account holders) is described in the Privacy Policy.

With respect to the documents and content uploaded to the Service by the User or their firm, which may contain personal data, the client firm acts as the data controller and the Publisher as the processor within the meaning of Article 28 of the GDPR (RGPD). In this capacity, the Publisher processes such data only on the documented instructions of the firm, for the sole purposes of providing the Service, and implements appropriate technical and organisational measures, including the physical isolation of each firm's data within a dedicated database. The terms of this processing are set out in a separate data processing agreement (DPA).

Where the User acts in the name and on behalf of a firm or organisation in accordance with Article 4, the data processing agreement is entered into with that firm or organisation, which acts as the data controller within the meaning of this Article.

8. Liability and warranties

As the Service is provided free of charge, on an experimental basis and "as is", the Publisher gives no warranty, express or implied, as to its fitness for a particular purpose, its availability, its continuity, or the accuracy and completeness of the results produced.

To the extent permitted by applicable law, the Publisher shall not be liable for indirect damages, nor for any loss or corruption of data occurring in the context of the beta version, nor for decisions made by the User on the basis of the results of the Service. No provision of these Terms shall have the effect of excluding or limiting the Publisher's liability in cases where such exclusion or limitation is prohibited by law.

The User is solely responsible for complying with their professional obligations, in particular professional secrecy, in their use of the Service and of the data they process therein, taking into account, among other things, the processing of uploaded content by artificial intelligence providers located outside the European Union, as described in Article 5 and in the Privacy Policy.

9. Suspension and closure of the beta version

The Publisher may, at any time, without notice or compensation, suspend, restrict or close any User's access, in particular in the event of a breach of these Terms, and may also terminate the beta version. The User may, for their part, cease using the Service at any time.

10. Amendment of the Terms

The Publisher reserves the right to amend these Terms at any time, in particular to reflect changes in the Service or in applicable regulations. The applicable version is the one in force on the day the Service is used. Continued use of the Service constitutes acceptance of the amended Terms.

11. Governing law and dispute resolution

These Terms are governed by French law. As the Service is intended exclusively for professionals, any dispute relating to their validity, interpretation or performance shall, failing an amicable resolution, fall within the exclusive jurisdiction of the courts of Paris (tribunaux de Paris), subject to applicable mandatory rules.
